Electronic Services Agreement

This Agreement is made and entered into on [Date] by and between MAS Company, a company duly licensed by the Commercial Registry Office of Cairo Chamber with registration number 36071 and acknowledges that it has obtained all necessary licenses to carry out its activities, hereinafter referred to as "Service Provider", and [User Name], hereinafter referred to as "User".
WHEREAS, the Service Provider is a company licensed to provide electronic services; and
WHEREAS, the User desires to obtain a service from the Service Provider;
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:
1. Preamble:
- The foregoing preamble, any attached exhibits, and the Service Provider's financial and technical proposal to the User, as well as the decisions of the Telecommunications Regulatory Authority and various investment laws, are an integral part of this Agreement.
2. Definitions:
- Service Provider: MAS Company.
- User: Any customer who requests the service.
- Notification and Correspondence Methods: These shall be in writing, by fax, or by email.
3. Subject of the Agreement:
- The Service Provider, as a licensed provider of electronic services, shall, upon request from the User, provide the services in accordance with the terms, specifications, and conditions set forth in this Agreement.
- The Agreement shall be effective from the date hereof.
4. Obligations of the Service Provider:
- The Service Provider shall provide the contracted services to the User at the specified time and place.
- The Service Provider shall deliver the service to the User without errors.
- The Service Provider shall bear all the execution errors of the software it performs, regardless of their type or size, and shall repair these errors without the User incurring any costs in this regard.
- The Service Provider shall train the User on the contracted service.
- The Service Provider undertakes that all information provided by it in this Agreement is accurate and reliable and that it shall bear all legal consequences of any inaccuracy in such data.
- The Service Provider shall notify the User in case of any change in the data related to its legal status or the termination of its status.
5. Obligations of the User:
- The User acknowledges that it has read this Agreement thoroughly and without ignorance and that it has understood all the aforementioned terms and all the consequences of its non-compliance with the terms of this Agreement.
- The User shall provide the computers, networks, and IT infrastructure necessary for the effective operation of the service.
- The User undertakes that all information provided by it in this Agreement is accurate and reliable and that it shall bear all legal consequences of any inaccuracy in such data.
- The User shall immediately notify the Service Provider in case of any problems or malfunctions in the provided service through written correspondence or email.
- The User shall use the contracted services in transactions that do not violate Egyptian laws, do not harm the interests of the state, and do not jeopardize the national security of the Arab Republic of Egypt.
- The User shall not re-dispose of the services provided to it in any way, such as by sale, mortgage, or the like.
- The User shall notify the Service Provider in case of any change in the data related to its legal status or the termination of its status.
6. Confidentiality:
- Each party shall not disclose confidential information to third parties during the term of this Agreement, after its expiration or termination, and shall not use such information for any purpose other than the purposes of executing this Agreement, and shall take all necessary precautions to prevent the disclosure of such information.
- Upon termination of this Agreement for any reason, the Service Provider shall not be obligated to continue the service, and the User shall take all necessary measures in this regard. Any violation of this shall result in a loss for which the party causing the damage may be held liable for compensation according to the degree of damage caused by the use of such data in a manner that violates this Agreement.
7. Termination of Agreement:
- Either party may terminate this Agreement by giving the other party written notice if either party breaches any of its material obligations set forth in this Agreement and fails to remedy the breach within thirty days of receipt of such notice.
- The Service Provider has the right to terminate the contracted services if the User breaches any of the conditions required in this Agreement, and in particular the following:
- The accumulation of financial claims against the User for the contracted services.
8. Intellectual Property Rights:
- All intellectual property rights in all ideas, concepts, methods, inventions, systematic processes, and works contained therein are owned by the User under this Agreement in accordance with the provisions of the Intellectual Property Rights Protection Law.
